Acceptance of Terms
By accessing or using HiveDesk (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use the Service. Your continued use after any modification of these Terms constitutes acceptance of the updated Terms.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use HiveDesk.
Description of Service
HiveDesk is a platform for deploying, managing, and orchestrating AI agent fleets. The Service enables you to:
- —Provision isolated compute containers (instances) to host your AI agents
- —Configure and deploy pre-built or custom AI agent specialists
- —Manage agent tasks through a kanban-style workflow
- —Integrate agents with third-party services such as GitHub, Slack, and Telegram
- —Schedule recurring agent tasks
Bring your own API keys: HiveDesk does not provide AI model access. You must supply your own API keys from providers such as Anthropic, OpenAI, or Google. API usage costs are billed directly by those providers to your accounts — HiveDesk does not mark up, proxy, or collect any portion of those costs.
The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue features at any time with reasonable notice where feasible.
Account Registration & Security
To access the Service you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate.
Credentials: You are responsible for maintaining the confidentiality of your account password and for all activity that occurs under your account. You must not share your credentials with any third party.
Notification: You must notify us immediately at security@hivedesk.io of any actual or suspected unauthorised access to your account.
One account per person: Each natural person or organisation may register one account unless explicitly authorised otherwise. Creating multiple accounts to circumvent usage limits is prohibited.
Acceptable Use
You agree to use HiveDesk only for lawful purposes and in a manner consistent with these Terms. The following is a non-exhaustive list of prohibited uses:
- —Using the Service for any illegal purpose or in violation of any applicable law or regulation
- —Violating the terms of service of any AI provider whose API keys you use with HiveDesk (including Anthropic, OpenAI, or Google)
- —Generating or distributing illegal content, including content that exploits or harms minors
- —Using agents to conduct phishing attacks, distribute malware, or engage in any form of cybercrime
- —Attempting to gain unauthorised access to other users' instances, data, or systems
- —Abusing the platform infrastructure — including excessive API calls, resource exhaustion attacks, or circumventing rate limits
- —Misrepresenting the origin of communications generated by your agents
- —Reselling, sublicensing, or providing access to the Service without written permission
Violation of this section may result in immediate suspension or termination of your account without refund.
Billing & Payments
HiveDesk offers both a free Starter plan and paid subscription plans. Paid plans are billed monthly or annually, depending on the option you select at checkout.
Subscription fees: Subscription fees cover access to HiveDesk platform features and infrastructure. They do not cover AI model usage costs, which are billed directly to you by your AI providers.
Bring-your-own keys: You are solely responsible for managing your AI provider API keys and the costs associated with their use. HiveDesk has no visibility into, and takes no responsibility for, your provider API costs.
Payment processing: Payments are processed by Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring basis. Your payment information is handled solely by Stripe — HiveDesk does not store raw card data.
Upgrades and downgrades: Plan upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period.
Refunds: We do not offer refunds for partial billing periods. If you believe a charge was made in error, contact us within 14 days of the charge and we will investigate.
Taxes: Prices shown exclude applicable taxes. You are responsible for any taxes applicable to your use of the Service.
Intellectual Property
Your data and outputs: You retain full ownership of all data you input into HiveDesk and all outputs your agents generate. HiveDesk claims no ownership over your task content, agent outputs, configurations, or any materials you create using the Service.
Licence to operate: By using the Service you grant HiveDesk a limited, non-exclusive licence to store, process, and transmit your data solely to the extent necessary to provide the Service to you.
HiveDesk platform: The HiveDesk platform, including its software, design, branding, and documentation, is proprietary to HiveDesk and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the platform without our written permission.
Feedback: If you submit ideas, feedback, or suggestions about the Service, you grant us a perpetual, royalty-free licence to use that feedback to improve the Service. We are not obligated to act on any feedback you provide.
Limitation of Liability
To the maximum extent permitted by applicable law, HiveDesk and its directors, employees, partners, and licensors shall not be liable for:
- —Any indirect, incidental, special, consequential, or punitive damages
- —Loss of profits, revenue, data, or business opportunities
- —Damages arising from third-party AI provider outages, rate limits, or policy changes
- —Damages resulting from unauthorised access to your account due to your failure to secure credentials
- —Inaccuracies or errors in content generated by AI agents
Our total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to HiveDesk in the three months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
Termination
By you: You may cancel your account at any time from the settings panel. Cancellation stops future billing but your account and data remain accessible until the end of your current billing period.
By us: We may suspend or terminate your account immediately if you breach these Terms, engage in conduct that we determine poses a risk to other users or the platform, or if required by law. Where possible, we will provide notice and an opportunity to remedy the breach before termination.
Effect of termination: Upon termination, your right to access the Service ceases. Your data will be deleted in accordance with our data retention policy (within 30 days). We will provide a data export opportunity where technically feasible.
Sections relating to intellectual property, limitation of liability, and any accrued obligations survive termination.
Changes to Terms
We may update these Terms from time to time to reflect changes in the Service, legal requirements, or our practices. When we make material changes, we will notify you via email or a prominent notice within the platform at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may cancel your account.
The date at the top of this page indicates when these Terms were last updated. We encourage you to review these Terms periodically.
